Terms of Service

1. Eligibility & accounts

You must be at least 18 years old and capable of forming a binding contract to use the Service. When you create an account, you agree to provide accurate and complete information and to keep it up to date. You are responsible for safeguarding your credentials and for all activity that occurs under your account. Notify us immediately of any unauthorized use.

2. Description of the Service

The Service provides software tools that help businesses create, dispatch, track, and report on deliveries. We may add, modify, or discontinue features at any time. We do not provide delivery, courier, or transportation services ourselves, and we are not a party to any agreement between you and your drivers or customers.

3. Acceptable use

You agree not to use the Service to:

• violate any applicable law, regulation, or third-party right;
• transmit unlawful, harmful, fraudulent, or infringing content;
• interfere with, disrupt, or attempt to gain unauthorized access to the Service or its systems;
• reverse engineer, scrape, or resell the Service except as expressly permitted; or
• use the Service to send unsolicited communications in violation of applicable law.

We may suspend or terminate access for any violation of this section.

4. Fees, billing & refunds

Paid plans are billed in advance on a recurring basis (monthly or annually) according to the plan you select, and automatically renew for successive periods until you cancel. By subscribing, you authorize us and our third-party payment processors to charge your payment method for all applicable fees and taxes.

We accept major credit and debit cards; Business plan customers may also pay by invoice. Unless otherwise stated, all fees are quoted and charged in US dollars and are exclusive of taxes, for which you are responsible. Payment is processed by PCI-compliant third-party providers; we do not store full card numbers. If a charge fails, we may retry it and may suspend or downgrade your account until payment is received.

You may cancel at any time from your account settings. Cancellation takes effect at the end of your current billing period, and you retain access until then. Except where required by law, fees already paid are non-refundable, and we do not provide refunds or credits for partial periods or unused service. We may change our prices with reasonable prior notice, effective at the start of your next billing cycle.

5. Intellectual property

The Service, including all software, text, graphics, and trademarks, is owned by Digital Hubz LLC or its licensors and is protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service in accordance with these Terms. You retain ownership of the data and content you submit ("Your Content") and grant us a license to host, process, and display it solely to provide and improve the Service.

6. Third-party services

The Service may integrate with or link to third-party products and services. We are not responsible for the availability, accuracy, or content of those third parties, and your use of them is governed by their own terms and policies.

7. Disclaimer of warranties

The Service is provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, secure, or error-free.

8. Limitation of liability

To the maximum extent permitted by law, Digital Hubz LLC and its affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill. Our total liability for any claim arising out of or relating to the Service will not exceed the amount you paid us in the twelve (12) months preceding the claim.

9. Indemnification

You agree to indemnify and hold harmless Digital Hubz LLC from any claims, damages, liabilities, and expenses arising out of your use of the Service, Your Content, or your violation of these Terms or any applicable law.

10. Termination

You may stop using the Service at any time. We may suspend or terminate your access if you breach these Terms or if we discontinue the Service. Upon termination, your right to use the Service ends, and provisions that by their nature should survive will continue to apply.

11. Changes to these Terms

We may update these Terms from time to time. When we make material changes, we will update the "Last updated" date and, where appropriate, provide additional notice. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

12. Governing law

These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict of laws principles. The courts located in that jurisdiction will have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Service.
